1. Proprietary Nature of the WebX United Ecosystem

The WebX United ecosystem represents a substantial investment of time, capital, technical development, business experience, research, design, testing, implementation, and proprietary know-how.

Except for third-party materials expressly identified as belonging to others, the content and systems comprising the WebX United ecosystem are proprietary to WebX United and/or its authorized licensors.

  • confidential commercial, strategic, technical, financial, operational, and development information; and
  • modifications, enhancements, derivative developments, and future versions of the foregoing.

Collectively, these materials are referred to in this Notice as the “WXU Intellectual Property.”

2. Ownership and Reservation of Rights

Nothing provided to a participant, consultant, FirstMover, affiliate, contractor, customer, prospect, or other person transfers ownership of any WXU Intellectual Property.

Access to WebX United systems or materials constitutes only a limited right to use those materials for their authorized purpose.

Unless WebX United expressly agrees otherwise in a signed written agreement, all ownership rights, title, and interest in the WXU Intellectual Property remain with WebX United or the applicable rights holder.

All rights not expressly granted are reserved.

3. Limited Permitted Use

Authorized participants may use WebX United materials solely for legitimate activities associated with their participation in an authorized WebX United program and only in accordance with current Company policies, agreements, and instructions.

Permission to access or use WXU Intellectual Property does not include permission to:

  • reproduce or distribute proprietary materials outside authorized channels;
  • copy or recreate WebX United systems for use in another business or program;
  • sell, sublicense, rent, lease, assign, or commercially exploit proprietary materials;
  • remove or alter copyright, trademark, confidentiality, attribution, or proprietary notices;
  • publish confidential or restricted materials on public websites, social-media channels, file-sharing services, repositories, or artificial-intelligence training systems;
  • reverse engineer, decompile, disassemble, scrape, systematically extract, or attempt to reconstruct proprietary software or systems;
  • duplicate proprietary workflows, compensation systems, prompts, automation logic, or technical architecture for a competing or unauthorized purpose;
  • use WebX United names, logos, branding, or marks in a manner suggesting ownership, sponsorship, or authorization where none exists; or
  • assist another person or organization in doing any of the foregoing.

4. Confidential Information

Certain WebX United information may constitute confidential information or trade-secret information.

Confidential information may include non-public technical architecture, development plans, software, source code, prompts, system instructions, credentials, customer or participant information, pricing strategy, compensation methodology, financial information, vendor relationships, business plans, operational methods, research, unreleased products, and other information that WebX United reasonably treats as confidential.

Recipients of confidential information must take reasonable measures to protect it from unauthorized disclosure, copying, access, or use.

Confidential information may be used only for the purpose for which access was granted.

5. Artificial Intelligence and Proprietary Systems

WebX United's use of artificial intelligence does not make its proprietary systems, configurations, workflows, prompts, knowledge structures, software integrations, business logic, or human-created materials public domain.

To the extent legally protectable, WebX United reserves its rights in the original selection, organization, configuration, design, programming, instructions, workflows, documentation, and human-authored elements incorporated into its AI-enabled systems.

Third-party artificial-intelligence models, platforms, libraries, and services remain subject to the rights and terms of their respective owners.

6. Software and Technology

Access to any WebX United software, application, dashboard, portal, API, plugin, mobile application, voice system, or other technology is provided as a limited, revocable right of use.

No source-code rights or ownership rights are granted unless specifically stated in a separate written agreement executed by WebX United.

Unauthorized duplication, extraction, modification, redistribution, reverse engineering, or creation of competing derivative systems is prohibited to the extent permitted by applicable law.

7. Brands and Marks

The WebX United name, WebX branding, associated logos, product and program names, and other identifying marks are proprietary brand assets of WebX United or their respective owners.

Use of these marks is permitted only as expressly authorized.

No participant acquires any ownership interest in a Company name, logo, domain name, trademark, trade dress, slogan, or other brand identifier merely by participating in a WebX United program.

8. Third-Party Rights

WebX United systems may incorporate or interact with third-party software, services, APIs, libraries, platforms, trademarks, technologies, or other materials.

Such third-party materials remain the property of their respective owners and are subject to applicable licenses and terms.

Nothing in this Notice is intended to claim ownership of third-party intellectual property.

9. Improvements, Suggestions and Feedback

Participants may from time to time provide ideas, suggestions, comments, recommendations, or feedback concerning WebX United systems or programs.

Unless otherwise agreed in writing, providing general feedback does not create an ownership interest in the WebX United platform or require WebX United to compensate the person providing such feedback.

Separate ownership arrangements for independently developed inventions, software, designs, or other substantial intellectual property must be established through a written agreement.

10. No Implied License

Disclosure of proprietary or confidential information does not grant any implied license to use that information beyond the purpose for which it was disclosed.

No license arises by implication, estoppel, participation, access, payment, referral relationship, or other conduct.

Any broader license must be expressly granted in writing by WebX United.

11. Protection of Participant and Company Information

Nothing in this Notice authorizes WebX United personnel, participants, or affiliates to misuse personal information or confidential information belonging to others.

Customer, participant, vendor, and business information must be handled in accordance with applicable privacy requirements, contractual obligations, and WebX United policies.

12. Unauthorized Use

Unauthorized possession, copying, disclosure, distribution, exploitation, or misuse of WXU Intellectual Property may result in suspension or termination of access or participation and may subject the responsible party to contractual or legal remedies available under applicable law.

Depending upon the circumstances, remedies may include injunctive relief, recovery of damages, recovery of improperly obtained materials, and other remedies permitted by law.

Nothing in this Notice creates a remedy that would not otherwise be available under applicable law.

13. Continuing Obligations

Obligations relating to ownership, confidentiality, restricted use, and protection of proprietary information survive termination of a participant's relationship with WebX United to the extent provided by applicable law and any governing agreement.

Termination of access does not authorize a former participant to retain or continue using confidential or proprietary materials.

14. Updates and Additional Agreements

WebX United may maintain additional intellectual-property, confidentiality, technology-use, privacy, participant, licensing, employment, contractor, or nondisclosure agreements.

Where a separate signed agreement imposes additional obligations, that agreement will govern with respect to those obligations.

This Notice may be updated as WebX United technology, programs, and intellectual-property portfolio evolve.

15. Legal Review

This document is intended to establish WebX United's ownership position, permitted-use expectations, and confidentiality requirements.

It should not be interpreted as a representation that every element of the WebX United ecosystem qualifies for every form of intellectual-property protection.

Copyright, trademark, patent, trade-secret, contractual, and other rights are governed by applicable law and the particular facts associated with each asset.
